1. Acceptance and platform access
These Terms govern your use of Ndini’s identity-verification platform, websites, APIs, SDKs, hosted checkouts and related services (the “Services”). By creating an account, accessing or using the Services, you confirm that you have authority to accept these Terms for yourself or the organisation you represent.
2. Packages, eligibility and review
Plan availability, verification capacity, upgrades, payment activity and account eligibility may be reviewed by Ndini to protect the platform, comply with law, prevent fraud and confirm appropriate use. Ndini may request information, pause or restrict access while a review is completed, or decline, reverse or adjust a plan where permitted by law. We will notify the account contact of a review when appropriate.
3. Official integrations only
For security, privacy and service integrity, you must use only the current Ndini APIs, SDKs, hosted flows, domains, credentials and integration materials published or expressly approved by Ndini. Do not use unofficial libraries, reverse-engineered endpoints, proxies, scraped interfaces, altered SDKs, shared credentials or third parties claiming to provide Ndini access without our written approval.
To the fullest extent permitted by law, Ndini is not liable for damage, loss, security incidents, data exposure, payment loss, service interruption or inaccurate results arising from an unofficial channel or unauthorised integration. Ndini assumes no responsibility for those channels.
4. Your responsibilities
You are responsible for all activity under your account, safeguarding credentials, and ensuring that you have every required notice, consent, lawful basis and authority to submit personal, identity and biometric data to the Services. You must promptly report suspected unauthorised access and comply with applicable law and Ndini’s reasonable security directions.
5. Acceptable use and suspension
You must not misuse the Services, circumvent security controls, test them without authorisation, submit unlawful or deceptive material, interfere with other users, or use verification results for unlawful discrimination or any prohibited purpose. Ndini may suspend or terminate access where it reasonably believes this is necessary to protect users, the platform, investigations or legal compliance.
6. Verification results
Verification outputs are decision-support signals, not a guarantee of identity, authenticity, eligibility, compliance or suitability. You remain responsible for your decisions and for applying appropriate human review, risk controls and legal obligations. The Services do not provide legal, financial or regulatory advice.
7. Fees and changes
Fees are charged according to the plan selected at checkout, except for Enterprise arrangements agreed in writing. Ndini may change packages, pricing or capacity prospectively on notice where required. Payments do not activate a plan until they have been successfully verified by Ndini.
8. Intellectual property
Ndini and its licensors retain all rights in the Services, software, documentation, branding and content. Subject to these Terms, Ndini grants you a limited, non-exclusive, non-transferable right to use the Services during your active subscription. No implied licence is granted.
9. Liability and indemnity
To the fullest extent permitted by law, Ndini will not be liable for indirect, incidental, special, consequential, exemplary or punitive losses, or for lost profits, data, goodwill or business opportunity. Where liability cannot be excluded, Ndini’s aggregate liability relating to the Services will not exceed the fees you paid for the affected Services during the twelve months before the event giving rise to the claim.
You will defend and indemnify Ndini and its personnel against third-party claims, losses and reasonable costs arising from your data, your use of the Services, your breach of these Terms or use of any unofficial integration. Nothing in these Terms excludes or limits any right or liability that cannot lawfully be excluded or limited.
10. Privacy, termination and governing law
Our handling of personal data is governed by the applicable privacy notice and law. You may stop using the Services at any time; Ndini may terminate access as allowed by these Terms. These Terms are governed by the laws of Zimbabwe, subject to any mandatory rights that apply to you. If a term is unenforceable, the remainder continues in effect.
